1. Acceptance of Terms

By accessing or using UnpaidInvoice.com ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. The Platform is operated by UnpaidInvoice LLC ("we", "us", or "our").

2. Description of Service

UnpaidInvoice provides a technology platform for business-to-business (B2B) debt recovery. Our services include AI-powered collection tools, demand letter generation, debtor communication management, and a public exposure hub for verified commercial debts. The Platform is designed exclusively for commercial/business debt and must not be used for consumer debt collection.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts. By using the Platform, you represent that you are a business entity or authorized representative of a business entity with legitimate unpaid commercial invoices.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in compliance with all applicable federal, state, and local laws, including but not limited to:

  • The Fair Debt Collection Practices Act (FDCPA)
  • The Telephone Consumer Protection Act (TCPA)
  • State-specific debt collection regulations
  • CAN-SPAM Act for email communications

You must not use the Platform to collect consumer debts, harass debtors, make false or misleading claims, or engage in any illegal collection practices.

6. Exposure Hub

The Exposure Hub is available exclusively for verified commercial/business debts. All submissions are subject to manual review and approval by our team. We reserve the right to reject or remove any listing at our sole discretion. You represent and warrant that all information submitted to the Exposure Hub is accurate, truthful, and relates to a legitimate commercial debt.

7. AI-Powered Features

Our AI collector bots, demand letter generators, and predictive analytics are tools to assist your collection efforts. While we strive for accuracy and compliance, you are ultimately responsible for reviewing all AI-generated content before it is sent to debtors. We do not guarantee the accuracy of AI-generated communications or predictions.

8. Subscription and Payments

Certain features require a paid subscription. Subscription fees are billed monthly through Stripe. You may cancel your subscription at any time through the billing portal. Refunds are handled on a case-by-case basis. We reserve the right to change pricing with 30 days' notice.

9. Limitation of Liability

To the maximum extent permitted by law, UnpaidInvoice LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless UnpaidInvoice LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, your violation of these terms, or your violation of any applicable law or regulation.

11. Intellectual Property

All content, features, and functionality of the Platform are owned by UnpaidInvoice LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

12. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Sections regarding limitation of liability, indemnification, and intellectual property survive termination.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Orange County, Florida.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or in-app notification. Your continued use of the Platform after changes constitutes acceptance of the modified terms.
